Copley Acquisition Corp. and Ignite Proteomics announce business combination

Ignite Proteomics, LLC and Copley Acquisition Corp. (NYSE: COPL) have entered into a definitive business combination agreement. On closing, both companies will become subsidiaries of a newly formed public holding company, intended to be named Ignite Proteomics Holdings, Inc., which is expected to list on the New York Stock Exchange. The combination reflects a pro forma enterprise value of approximately $150 million and is expected to close in the second half of 2026, subject to customary closing conditions.

Company Overview

Ignite Proteomics is a molecular diagnostics and biopharma services company built on Reverse Phase Protein Array (RPPA) technology. RPPA measures the activated proteome: the proteins and phosphoproteins that determine how a tumor behaves and how it responds to therapy. Genomic tests infer what a tumor might do. Ignite’s assay measures what it is actually doing, which gives oncologists a functional, protein-level basis for selecting treatment.

The company serves two markets from one platform. Its CLIA/CAP-certified laboratory delivers a commercial assay for advanced breast cancer that maps biomarkers to FDA-approved therapies. For biopharma partners, Ignite provides RPPA and laser-capture microdissection services that support drug development from discovery through clinical trials. Together, these lines pair recurring clinical testing revenue with higher-value pharma partnerships.

As a public company, Ignite intends to scale commercial adoption, extend the assay menu beyond breast cancer, and grow its biopharma services pipeline.
